Zee Sony Drama: Involving Parties Continue To Fight

So welcome again to the weekly drama of Zee and Sony. Zee Entertainment Limited (ZEEL) might consider legal action against Culver Max Entertainment (Sony India) if the long-anticipated merger faces further delays beyond January 20. The merger, initially set for completion by December 21, 2023, has encountered setbacks as both companies had to comply with structural remedies proposed by the Competition Commission of India (CCI).

Zee Entertainment had to sell three Hindi channels – Big Magic, Zee Action, and Zee Classic – to follow the rules set by the Competition Commission of India (CCI) for their merger with Sony. If the merger falls through, it could mean big losses for Zee. The original deal had a $100 million penalty if either company backed out, but that penalty expired on December 21. Now, they’ve extended talks for 30 more days, hoping to finish the deal before January 20.

There are rumours that Sony is thinking about cancelling the $10 billion merger because they’re not comfortable with Pawan Goenka leading the combined company, especially with all the regulatory attention. At first, Goenka agreed to step down, but he changed his mind after getting some relief from the Securities Appellate Tribunal (SAT). Sony is suggesting NP Singh, who is the head of Sony India, as a replacement for Goenka.
